Welcome to Build Your Buzz Creative Studio ("BYB", "we", "us"). By engaging us for services, you agree to these Terms and Conditions.
1. Services
We will provide the marketing, web development, or automation services as described in the specific Quote, Proposal, or Invoice provided to you. Any additional work outside this scope will be charged at our standard hourly rate or quoted separately.
2. Fees & Payment
- Invoices: Invoices must be paid within the timeframe specified on the invoice (typically 7 or 14 days).
- Deposits: For large projects (e.g., website builds), we may require a 50% deposit before work commences.
- Late Payment: We reserve the right to pause work or take down live websites if invoices remain unpaid after 30 days.
3. Client Obligations
To deliver the best results, we need your help. You agree to:
- Provide necessary access to accounts (e.g., Google Analytics, Hosting, Social Media) in a timely manner.
- Provide content, images, and feedback within reasonable timeframes.
- Ensure you have the legal right to use all content (images, text, logos) you provide to us.
4. Intellectual Property (IP)
- Your Ownership: Upon full payment of all fees, you own the copyright to the final deliverables (e.g., the finished website, the logo design, the ad copy).
- Our Ownership: BYB retains the right to use the work in our portfolio and marketing materials. We also retain ownership of our background tools, frameworks, and pre-existing code used to build your project.
5. No Guarantees (SEO & Marketing)
While we use industry best practices and high-quality tools:
- Rankings: We cannot guarantee specific rankings on Google or other search engines. Algorithms change frequently and are outside our control.
- Performance: We cannot guarantee specific financial results (e.g., "X" amount of sales or leads), as these depend on market conditions and your internal sales processes.
6. Liability
To the maximum extent permitted by Australian law:
- Our total liability to you for any claim is limited to the amount of fees you have actually paid us in the 3 months preceding the claim.
- We are not liable for any indirect loss, lost profits, or data loss caused by third-party services (e.g., hosting failures, platform outages).
7. Termination
Either party may terminate this agreement with 30 days' written notice. You agree to pay for all work completed up to the date of termination.
8. Governing Law
These terms are governed by the laws of the Australian Capital Territory (ACT). Any disputes will be subject to the jurisdiction of the courts in the ACT.
